These Terms of Service ("Terms") govern your access to and use of the website axiomtalentmanagement.ca (the "Website") and your engagement with Axiom Talent Management Inc. ("Axiom," "we," "us," or "our") for recruitment, immigration support, employer advisory, or investment planning services (collectively, the "Services"). By using the Website or booking a consultation with us, you agree to be bound by these Terms. If you do not agree, please do not use the Website or Services.

1. Acceptance of these terms

By accessing or using the Website, submitting an inquiry, or booking a consultation, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Website or Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. About Axiom and our services

Axiom Talent Management Inc. is a Canadian firm that provides:

• Recruitment and placement services, matching IT and technical professionals with Canadian employers;
• Immigration support services, including preparation and coordination of work permit and permanent residency filings, delivered directly by, or in coordination with, appropriately licensed immigration representatives;
• Employer advisory services, including HR process consulting and guidance on the use of technology, including AI, in hiring; and
• Investment planning information and referral services, connecting clients with appropriately registered investment professionals.

The specific scope of Services provided to you will be described in a separate engagement letter, service agreement, or statement of work, which will govern in the event of a conflict with these Terms with respect to that engagement.

3. Professional licensing and regulated activities

Certain activities described on this Website are regulated professions or regulated activities under Canadian law, and Axiom performs them only through individuals and, where applicable, affiliated firms holding the required licences or registrations:

• Immigration representation. Only a lawyer or paralegal who is a member in good standing of a Canadian law society, or a Regulated Canadian Immigration Consultant (RCIC) licensed by the College of Immigration and Citizenship Consultants (CICC), may represent you before Immigration, Refugees and Citizenship Canada (IRCC) for a fee. Where Axiom provides immigration filing support, that support is provided by, or under the supervision of, an appropriately licensed representative. Axiom staff who are not licensed representatives do not provide immigration legal advice and will not represent you before IRCC.
• Investment advice. Axiom does not act as a registered investment dealer, portfolio manager, or investment fund manager. General information shared during a consultation is educational in nature. Any product-specific or personalized investment advice, and any trading or account-opening activity, is carried out only by appropriately registered individuals and firms under applicable Canadian securities law, to whom we may refer you.

You should independently verify the licensing status of any individual providing you with immigration or investment advice, and you are encouraged to ask for that information before proceeding.

4. Eligibility

You must be at least the age of majority in your province or territory of residence to use the Services or enter into an engagement with Axiom. By using the Website, you represent that you meet this requirement.

5. Use of the website

You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use the Website in any way that violates applicable federal, provincial, or municipal law;
• Attempt to gain unauthorized access to any part of the Website, our systems, or related networks;
• Interfere with or disrupt the operation of the Website or servers or networks connected to it;
• Use any automated system, including bots or scrapers, to access the Website without our prior written consent; or
• Submit false, misleading, or fraudulent information through any form on the Website.

6. Booking a consultation

Consultations are booked through Calendly, a third-party scheduling platform. When you book a consultation, you are providing your booking information directly to Calendly, subject to Calendly's own terms of service and privacy policy, in addition to our Privacy Policy. We are not responsible for the availability, functionality, or security of the Calendly platform. Please provide accurate contact information when booking so we can reach you to confirm or reschedule as needed.

7. Fees and engagements

An initial consultation booked through Calendly is provided free of charge and without obligation, as described on the Website at the time of booking. Any Services beyond the initial consultation, including recruitment placement, immigration filing support, employer advisory work, or investment planning referrals, are subject to separate fee arrangements that will be disclosed to you and agreed upon in writing before work begins. The Website does not currently process payments; any invoicing or payment arrangements will be handled directly between you and Axiom, or a designated payment processor, under a separate agreement.

8. No guarantee of outcomes

While Axiom will use commercially reasonable efforts and professional diligence in providing the Services, we do not and cannot guarantee any particular outcome, including but not limited to: an offer of employment, the approval of any immigration application by IRCC or any other government authority, any specific timeline for government processing, or any particular investment return or financial result. Outcomes depend on factors outside our control, including the decisions of employers, government agencies, and market conditions.

9. Intellectual property

The Website and its content, including text, graphics, logos, and design, are owned by or licensed to Axiom Talent Management Inc. and are protected by Canadian and international copyright and trademark laws. You may view and print content from the Website for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from any part of the Website without our prior written consent.

10. Third-party services and links

The Website may link to or integrate with third-party services, including Calendly and social media platforms. We do not control and are not responsible for the content, accuracy, or practices of these third-party services. Your use of any third-party service is governed by that service's own terms and policies.

11. Privacy

Our collection, use, and disclosure of your personal information is described in our Privacy Policy, which forms part of these Terms.

12. Disclaimers

13. Limitation of liability

You agree to indemnify and hold harmless Axiom Talent Management Inc. and its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Website, or your violation of any law or the rights of a third party.

15. Termination of access

We may suspend or terminate your access to the Website at any time, without notice, if we believe you have violated these Terms or applicable law. Provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, and governing law, will survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, except where mandatory consumer protection law in your province of residence requires otherwise.

17. Severability and entire agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and any separate engagement letter or service agreement, constitute the entire agreement between you and Axiom regarding the Website and Services.

18. Changes to these terms

We may update these Terms from time to time. Changes take effect when posted to this page with an updated effective date. Your continued use of the Website or Services after changes take effect constitutes your acceptance of the revised Terms.
